Head of Legal (Software) — Switzerland

Hi there 👋 this is Mila Read from Found Legal, where we specialise in hiring in-house lawyers for technology companies.

My client is a Tech / Software company looking to hire a Head of Legal in Switzerland.

Currently this is a Sole Counsel role, with an opportunity to hire a team member in the future.

Location: Remote or Hybrid within Switzerland

The role can be remote within Switzerland or hybrid working out of one of the company’s offices in Switzerland. The job holder needs to be based in Switzerland (relocation would be required if you live elsewhere).

A smaller Tech / Software company established 30 years ago, #1 market leader in their niche with 450 employees.

Role

This is an exciting and varied generalist legal role within a software business that is responsible for all legal aspects and matters, with a significant part of the work focusing on supporting the company’s commercial activities (supporting the sales team and drafting and negotiating client contracts).

Since this is a smaller business, there is scope to shape your role and set up Legal the way it should be.

The business has already had a lawyer for over 3 years, so you are not quite starting from scratch: some legal processes and structures and already established and other functions are used to working with Legal.

— Note: this is a hands-on commercial legal role at a smaller company where you will be involved in contract negotiations with customers (as well as building the legal function). 

If your career focus is on managing a large team, this is not the right role for you.

Responsibilities

— Work directly with the C-Level and Senior Leadership team and advise on a range of matters including strategic initiatives

— Develop and implement the company’s legal strategy

— Negotiating a variety of agreements, including SaaS, software and subscription licenses, maintenance agreements, partnerships, vendor agreements, and customer contracts.

— Maintain the company’s compliance with local and international laws and regulations, IP, privacy, and cybersecurity laws.

— Manage and oversee any legal disputes or litigation.

— Manage legal risks and develop strategies to mitigate them.

— Advise on corporate governance and Board of Directors matters.

— Maintain data protection compliance, especially where the software handles personal or sensitive data.

— Provide guidance on employment law matters, including labor relations, employee contracts, and HR policies.

— Assist in due diligence and legal aspects of mergers, acquisitions, and partnerships.

Requirements (all mandatory)

  • We are looking for a technology lawyer with 8+ years of experience (ideally more)
  • Experience supporting the commercial / sales function
  • You must be fully fluent in German and English (commercial negotiations level fluency)
